Terms of Service

These terms govern your use of adorntrade.com and every order you place through it. The seller is 广州杰维纳珠宝有限公司, trading as AdornTrade. Placing an order means you accept these terms.

Trade sales only

adorntrade.com sells wholesale to businesses that buy for resale or commercial use. By ordering you confirm you are acting for a business and not as a consumer, and that you are authorised to bind that business. Consumer protection rules that assume a private buyer — statutory cooling-off periods in particular — do not apply to trade sales.

Orders and acceptance

Product listings are an invitation to order, not an offer. A contract forms only when we confirm your order and take payment. Until then we may decline an order or part of one — for example where stock has sold, where a price or specification was published in error, or where we cannot lawfully ship to the destination.

Where an obvious pricing error is caught before dispatch we will contact you and either cancel and refund in full or ask you to confirm the corrected price. We will not silently ship at the wrong price or silently charge you more.

Prices and quantity tiers

Prices are in US dollars and never include shipping: carriage is quoted and paid separately at checkout. Whether destination duties and taxes are covered depends on the shipping service you select — most small-parcel services are duty-included, and any service that is not is labelled as such in the shipping options (see Shipping Information). Quantity tier pricing is applied automatically from the total quantity of that product in your cart — the tier shown on the product page is the tier you are charged.

Prices can change without notice. The price that applies is the one displayed when your order is confirmed. Any minimum order quantity is shown on the product page; where none is shown, none applies.

Payment

Payment is taken in full before dispatch, through PayPal. Card details are entered on PayPal's systems and never reach ours. Where a payment is authorised but later reversed, charged back, or fails to settle, we may suspend or cancel the order and withhold dispatch until the position is resolved.

Delivery, title, and risk

Delivery estimates are estimates, not guarantees. We are not liable for delay caused by carriers, customs, weather, or other matters outside our control, and delay does not entitle you to cancel a confirmed order.

Risk in the goods passes to you on delivery to you or to a carrier you nominate. Title stays with us until we have received payment in full for the goods concerned.

On a duty-included shipping service, the destination import charges for the goods are covered by the shipping price you paid. On a service labelled as duty-unpaid, you are the importer of record and duties, taxes, brokerage, and destination charges are yours. See Shipping Information for detail.

Product descriptions and variation

We describe materials accurately and conservatively. Where a supplier states a specification we cannot independently verify, we describe it at the level we can stand behind rather than repeating the stronger claim.

These are volume-produced goods. Reasonable variation in tone, finish, chain lay, and stone figuring between units of the same SKU is inherent to the product. Photographs are representative; screens are not colour-calibrated. Natural stone and pearl vary by nature.

Resale

You are free to resell the goods under your own brand. You are responsible for compliance in your own market — including hallmarking, nickel release and other materials regulation, labelling, and consumer-facing claims. Do not repeat a material or provenance claim that goes beyond what our product page states.

Nothing here transfers any right in our trade marks, photography, or site content. You may use our product photography to resell the goods you have bought from us; you may not use it to advertise goods sourced elsewhere.

Intellectual property

The site, its text, and its imagery belong to us or our licensors. You may not scrape, republish, or systematically copy the catalogue.

You warrant that any artwork, logo, or design you send us for a custom or OEM order is yours to use, and you indemnify us against third-party claims arising from our using it as you instructed.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss, and our total liability arising from an order is limited to the amount you paid for that order.

Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, industrial action, carrier failure, sanctions, and government action.

Termination

We may suspend or close an account that breaches these terms, that is used fraudulently, or that is used to place orders we cannot lawfully fulfil. Closure does not affect orders already confirmed and paid.

Governing law and disputes

These terms, and every order placed under them, are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules. If a dispute arising from these terms or from an order cannot be resolved through negotiation, it shall be submitted to the competent people's court at the seller's registered domicile. If your business requires a different governing law or forum, raise it before ordering and we will confirm in writing whether we can agree to it — a separate signed agreement then prevails over this clause.

General

If any provision is found unenforceable, the rest continues in force. Our not enforcing a term on one occasion does not waive it. These terms, together with your order confirmation, are the whole agreement between us and replace any earlier discussion.

We may update these terms. The version that applies to an order is the version published when that order was confirmed.
